Business Registration · October 2026 · 5 min read
A UK private limited company is a popular way to run a business. Companies are registered with Companies House, and you can do it online.
What you need
- A company name that is not already taken. You can check names on the Companies House website.
- A registered office address in the UK. Official mail is sent here, and the address is shown on the public register.
- At least one director. Directors can live outside the UK, but must meet the legal requirements, such as the minimum age.
- At least one shareholder. One person can be both director and shareholder.
- A SIC code, which describes what your business does.
- Company rules (articles of association). Most people use the standard model articles.
Where to register
You can register directly on the official GOV.UK website, or use a company formation agent that handles the paperwork and often adds an address service. Check the current fee and the current steps on GOV.UK before you start.
Identity verification
Companies House has introduced identity verification for directors and people with significant control. Check the GOV.UK pages for the current rules and deadlines that apply to you.
After you register
- You receive a certificate of incorporation and a company number.
- Register for Corporation Tax with HMRC when you start trading.
- Open a business bank account.
- File a confirmation statement every year.
- File annual accounts and a company tax return on time.
